1. Your agreement with us
These Terms of Service ("Terms") are an agreement between you and Windline Ventures, the operator of Montley ("Montley," "we," "us," or "our"). They govern your access to montley.app and the Montley applications, syncing features, and related services (together, the "Service").
By creating an account or using the Service after being presented with these Terms, you agree to them. If you do not agree, do not use the Service. If you use Montley on behalf of an organization, you confirm that you have authority to bind that organization, and "you" includes that organization.
Our Privacy Policy explains how we process personal information. Permissions you grant for Google access, bank connections, and optional notifications remain subject to the choices described in that policy. These Terms do not expand those permissions.
2. Eligibility and your account
You must be at least 18 years old, legally able to enter into these Terms, and permitted by applicable law to use the Service. Montley is designed for supported United States financial institutions; availability varies by institution and account type.
Sign in using your own Google account and keep your account and billing information accurate. You are responsible for safeguarding your Google account and devices, managing authorized access, and activity you authorize through your Montley account. Tell us promptly at hello@montley.app if you believe your account has been compromised. Do not send us passwords, bank credentials, or transaction records in a support message.
3. What Montley does
Montley uses Plaid to retrieve information from financial accounts you connect and sync transaction and balance information to a Google Sheet you create or select. The Service may also maintain spreadsheet structure, provide templates, manage collaborators at your direction, and deliver notifications you enable.
Montley is a data organization tool. We are not a bank, broker, investment adviser, accountant, or tax adviser. Montley does not hold your funds, initiate transfers from your connected financial accounts, or provide investment, legal, tax, or accounting advice. Paying for your Montley subscription is separate from connecting a financial account for syncing.
Bank connections, available history, update frequency, balances, and transaction details depend on Plaid, your institution, Google, and other factors. Updates may be delayed, duplicated, missing, reclassified, or corrected, and pending transactions may change or disappear. We do not promise real-time updates, a particular amount of historical data, or continuing support for a particular institution.
Review important information against your institution's records before relying on it for a payment, filing, financial decision, or other consequential action. Montley does not replace official statements, required recordkeeping, or professional advice.
4. Connected services
Connect only financial accounts and spreadsheets you own or have authority to access and share. By connecting them, you authorize Montley and the providers involved to access and process the information needed to carry out the features you request, including ongoing syncing until you disconnect or revoke access. You are responsible for obtaining permission from any other account owner or person whose information you provide.
Google access allows Montley to work with files you create with or select for the Service. Plaid or your financial institution handles bank authentication; Montley does not receive your bank login credentials. Plaid's independent handling of your information is described in its End User Privacy Policy.
Your use of Google, Plaid, Stripe, Telegram, and your financial institution is also subject to the applicable agreements you have with them. Those providers may change their services, restrict access, or experience outages. You may need to reconnect an account or grant renewed permission for syncing to continue.
You can disconnect an institution in Montley or revoke Google access through your Google Account connections. Disconnecting stops the affected access or syncing. It does not remove data already written to your Sheet or cancel your subscription.
5. Your data and spreadsheets
As between you and Montley, you retain ownership of your data and the content you add to your spreadsheets. You grant us a limited, nonexclusive permission to access, process, and transmit that information solely to provide, maintain, secure, and support the Service you request, consistent with the Privacy Policy. This permission does not give us ownership of your financial data or permission to sell it, use it for advertising, or train artificial intelligence models with it.
Your Google Sheet is the durable source of your synced financial history. Montley does not ordinarily store transaction rows or balance amounts and does not log them. If you enable chat notifications, we temporarily hold encrypted delivery payloads and clear them after delivery or within 24 hours from the active database, as described in the Privacy Policy's retention section, including its explanation of protected backups.
You control who can view, edit, copy, or share your Sheet. Collaborators may see financial data, and people who have already copied it may retain their copies after access is removed. Use Google Drive permissions to review and manage sharing, including access granted outside Montley.
Syncing and maintenance may update transaction rows, formulas, formatting, named ranges, and other structure managed by Montley. Editing or deleting those areas can interrupt syncing or cause changes to be overwritten during repair. Follow the documentation when customizing a Sheet, keep backups or exports you need, and use separate areas for your own reports. Montley is not a backup service and may be unable to recover data deleted from your Sheet.
6. Optional notifications
Connecting a Telegram group authorizes Montley to send the transaction and amount-change details described in the setup notice to that group. Enable notifications only if you have authority to share that information with everyone who can access the group. Current or future members may be able to see delivered messages.
Telegram stores delivered messages under its own terms and privacy practices. Disconnecting notifications in Montley stops future delivery but does not delete messages already delivered or copies made by group members. Notifications can be delayed, duplicated, or undelivered. Do not rely on them as your only way to detect fraud, monitor balances, or meet a deadline.
7. Trials, billing, and cancellation
Your plan
Montley subscriptions are billed monthly or annually, as selected at checkout, for the number of reusable spreadsheet slots you purchase. A slot allows your account to manage one spreadsheet at a time. Removing or replacing a spreadsheet does not reduce the purchased quantity or cancel the subscription. The price, currency, quantity, any trial or promotion, applicable taxes, and billing schedule shown when you confirm checkout or a plan change apply to that purchase. You can review your subscription through Manage billing in the Montley dashboard.
Free trials and automatic renewal
If you are eligible for a free trial, its length and end date are shown during signup and in your billing information. A payment method is required. Unless an offer expressly says otherwise, only one trial is available per account; adding or replacing a spreadsheet does not start another trial.
Unless you cancel before the trial ends, your trial automatically converts to a paid subscription on your selected billing schedule and your payment method is charged the disclosed amount plus applicable taxes. Paid subscriptions automatically renew each month or year, according to your selected plan, until canceled. By confirming the subscription at checkout, you authorize Stripe, our payment processor, to charge your payment method for the agreed recurring fees and applicable taxes. Signing in or connecting a bank alone does not authorize a subscription charge.
How to cancel
To cancel, sign in to Montley, select Manage billing, and complete cancellation in the Stripe-hosted billing portal before your trial ends or your next renewal. The portal shows when cancellation takes effect. For cancellation at the end of a trial or paid period, access continues until that period ends, then paid syncing stops. If you cannot access the portal, email hello@montley.app for help canceling.
Disconnecting a bank, revoking Google access, deleting or removing a spreadsheet, or simply stopping use does not cancel billing. Your existing Google Sheet and the data already written to it remain under your control after cancellation.
Plan changes and payments
Changes to your spreadsheet limit use your subscription's current unit price. Stripe displays any prorated charge or credit for review before you confirm. A different price advertised to new customers does not by itself change your existing subscription. If we change your recurring price, we will give at least 30 days' advance notice, or any longer notice required by law, and apply the change no earlier than your next renewal so you can cancel beforehand. A new subscription after an earlier one ends uses the offer available when you subscribe again.
Keep a valid payment method on file. If a payment fails, we or Stripe may retry it and ask you to update your payment information. Access to paid features may be paused or ended if payment remains unresolved. You are responsible for applicable taxes on your purchase, excluding taxes on our income.
Refunds
Except as required by law, expressly offered at purchase, or provided under Section 10, fees are nonrefundable and we do not provide refunds for partial billing periods or unused spreadsheet slots. A credit shown and confirmed during a plan change still applies. Contact hello@montley.app about an incorrect charge or a refund request. Nothing in these Terms limits a refund, withdrawal, or cancellation right that applicable law gives you.
8. Acceptable use
Use Montley lawfully and respect other people's accounts, data, and rights. You must not:
- access or share accounts or data without authorization, impersonate another person, or misrepresent your authority;
- use the Service for fraud, unlawful surveillance, or other illegal activity;
- use Montley data to determine another person's eligibility for credit, employment, insurance, housing, or another purpose regulated by the Fair Credit Reporting Act;
- interfere with the Service, introduce malicious code, bypass security or access controls, or probe systems without our permission;
- evade plan limits or charges, abuse trials, or place an unreasonable load on the Service; or
- resell access to Montley or copy or reverse engineer its software except as permitted by applicable law or an applicable open-source license.
These restrictions do not prevent you from using your own spreadsheet data, building your own reports, or sharing a Sheet through the Service's supported features.
9. Our intellectual property
Montley and its licensors retain rights in the Service's software, branding, designs, documentation, and templates, excluding your data and content. While you comply with these Terms, we grant you a limited, nonexclusive, nontransferable right to use the Service for your personal or internal business purposes within your plan.
You may continue to use and modify templates and formulas already delivered to your Google Sheet after your subscription ends. This does not grant rights to resell Montley's software, branding, or standalone templates. Third-party and open-source components remain subject to their own licenses. If you voluntarily send us feedback, you permit us to use it to improve the Service without payment or an obligation to you.
10. Suspension and termination
You may stop using Montley at any time, cancel as described above, and request account deletion by emailing hello@montley.app. Cancel your subscription as part of closing your account, or ask us to help. Deletion and any required retention of account information follow the Privacy Policy.
We may restrict or suspend access when reasonably necessary to address a security risk, suspected unauthorized activity, nonpayment, a material violation of these Terms, or a legal requirement. When practical and lawful, we will explain the issue and give you a reasonable opportunity to resolve it. We may terminate access for a serious or repeated violation or an unresolved issue.
We may change or discontinue the Service. If we discontinue the paid Service or terminate your subscription for reasons other than your breach, we will provide reasonable advance notice when practical, stop future subscription charges, and refund prepaid fees for the unused portion of your paid term. Any additional rights under applicable law still apply.
When access ends, future syncing and notifications stop. Ending access does not transfer ownership of your Google Sheet to us or automatically erase data already delivered to Google Sheets or Telegram. Terms concerning accrued payment obligations, ownership, disclaimers, liability, and disputes continue to apply where relevant after termination.
11. Disclaimers
We aim to provide a useful, reliable Service. To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available," without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the Service will be uninterrupted, error-free, completely secure, or that synced data or notifications will always be accurate, complete, or recoverable.
Some jurisdictions do not allow certain warranty exclusions. These exclusions apply only to the extent permitted where you live and do not remove any statutory guarantees or remedies that cannot be waived.
12. Limits on liability
To the fullest extent permitted by applicable law, Montley and its personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, or business opportunities arising from the Service or these Terms, even if advised that such damages were possible.
To the fullest extent permitted by applicable law, our total liability for all claims arising from or related to the Service or these Terms will not exceed the greater of US $100 or the amount you paid Montley for the Service during the 12 months immediately before the event giving rise to the claim. This limit applies regardless of the legal theory of the claim.
These exclusions and limits do not apply to our fraud, willful misconduct, gross negligence, or any liability that applicable law does not allow us to exclude or limit. They do not limit our express refund obligations or your nonwaivable consumer rights.
13. Resolving disputes
If you have a concern about Montley, contact hello@montley.app with a description and the resolution you are seeking so we can try to resolve it. This informal process is voluntary and does not prevent either party from bringing a claim in a court with jurisdiction or exercising rights under applicable law.
These Terms do not require arbitration or waive your right to bring an individual or class claim where that right is available under applicable law. You retain the protection of mandatory consumer laws that apply where you live.
14. Changes to these Terms
We may update these Terms as the Service or legal requirements change. We will post the revised Terms here and update the date above. For material changes, we will provide notice by email or in the Service at least 30 days before they take effect, unless a shorter period is necessary to comply with law or address an urgent security issue. We will obtain your consent when required by law.
Changes apply prospectively. If you do not agree to revised Terms, stop using the Service and cancel your subscription before they take effect. Your continued use after the effective date and notice constitutes acceptance to the extent permitted by law. Changes to recurring prices follow the separate notice requirements in Section 7.
15. General terms and contact
These Terms and any purchase terms you expressly accept form the entire agreement about your use of the Service and replace earlier agreements on the same subject. If purchase terms conflict with these Terms about price, quantity, trial length, billing schedule, or an expressly offered refund, the purchase terms control for that purchase.
If a provision is unenforceable, the remaining provisions remain in effect. A delay in enforcing a provision is not a waiver of it. You may not transfer this agreement without our consent. We may transfer it as part of a merger, reorganization, or sale of the Service, provided the successor assumes our obligations and your rights under these Terms are preserved. These Terms do not create rights for third-party beneficiaries.
We may send account, billing, security, and legal notices to the email address associated with your account or display them in the Service. Keep that address current and retain a copy of these Terms for your records.
